1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you ("Client") and Is It Studios ("Studio," "we," "us"). By commissioning a build, subscribing to an active infrastructure retainer, or accessing isitstudios.com, you agree to be bound by these Terms and our Privacy Policy.

2. 100% Asset & Domain Ownership Guarantee

We believe in complete ownership without captive vendor lock-in:

• Domain & Brand: You retain 100% ownership of your registered domain name, company trademarks, logos, copy, and visual media at all times.
• Custom Codebase: Upon settlement of the once-off build invoice in full, the intellectual property rights and compiled code for your bespoke website are transferred to you.
• Studio IP: Proprietary internal scaffolding, reusable developer tools, and underlying open-source libraries remain governed by their respective licenses.

3. Delivery Timelines & Client Responsibilities

Our guaranteed turnaround timelines depend on active client cooperation:

• Single-Page Sprint (3–5 Business Days): Designed for rapid market launch. Delivery countdown commences on the business day following receipt of complete branding assets, text copy, and deposit.
• Multi-Page Commercial (7–10 Business Days): Complete multi-page infrastructure. Delivery countdown commences upon receipt of all page content and initial milestones.
• Enterprise Engineering: Governed by milestone dates agreed upon in your custom Master Service Agreement.

Delays resulting from unprovided client assets, late review feedback, or major mid-sprint scope changes will adjust the target launch date accordingly.

4. Active Infrastructure & Maintenance Retainer

To ensure 99.9% uptime, active security, and ongoing stability, live deployments are paired with our managed retainer:

• Retainer Rates: Billed at R 950 / month (monthly recurring) or R 9,500 / year (annual prepay including 2 months free).
• Scope of Support: Covers managed high-speed cloud hosting, automated SSL certification, spam defense, business domain email management (up to 5 inboxes), and up to 30 minutes of monthly developer maintenance for minor copy, contact, or image updates.
• Scope Expansions: New standalone pages or substantial structural redesigns are billed separately at the standard R 1,500 once-off expansion rate per page.
• No Lock-In Cancellation: Monthly retainers may be cancelled at any time with 30 calendar days' written notice. Upon termination, we will provide an export of your site's static assets for external transfer.

5. Invoicing & Payment Terms

All prices are quoted in South African Rand (ZAR).

• Once-off builds typically require a 50% commencement deposit, with the remaining 50% balance due upon staging approval prior to domain DNS launch.
• Monthly retainer invoices are payable via Electronic Funds Transfer (EFT) or automated debit order.
• Invoices not settled within 14 calendar days of the due date may result in temporary suspension of managed cloud hosting services until brought up to date.

6. Limitation of Liability

While we engineer high-reliability digital architecture with 99.9% uptime targets, Is It Studios shall not be held liable for indirect, incidental, or consequential damages resulting from third-party telecommunications outages, upstream DNS provider downtime, or client-initiated modifications. Our total aggregate liability under any contract is strictly limited to the fees paid by the Client in the three (3) months preceding any claim.

7. Governing Law & Contact

These Terms shall be interpreted in accordance with the laws of the Republic of South Africa and the Electronic Communications and Transactions Act (ECTA). Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.
